Corporate Lawyer – Luxembourg

Our client is an international capital group with a diverse portfolio of businesses and investments, headquartered in Luxembourg and operating across multiple jurisdictions. As a recruitment agency, we are currently seeking an experienced Corporate Lawyer to join the client’s Luxembourg office and support the group’s corporate and transactional activities.

Role overview

  • Acting as in-house legal counsel for the Luxembourg holding and operating entities of an international group, with a strong focus on corporate and company law.
  • Providing day-to-day legal support to management and group functions on cross-border corporate, commercial and governance matters.
  • Liaising on a regular basis with local courts, notaries and external law firms in Luxembourg in connection with corporate transactions, litigation and regulatory matters.

Key responsibilities

  • Drafting, reviewing and negotiating corporate documentation, including shareholders’ agreements, share purchase agreements, joint venture documentation, minutes, powers of attorney and board/shareholders’ resolutions.
  • Managing the full corporate life cycle of Luxembourg entities (incorporations, capital increases and reductions, restructurings, mergers, liquidations and migrations).
  • Coordinating and overseeing corporate restructurings and cross-border transactions within the group, in cooperation with internal stakeholders and external advisors.
  • Representing group entities before local authorities and courts in corporate and commercial matters, in coordination with external counsel where appropriate.
  • Ensuring compliance with Luxembourg corporate law, EU regulations and internal group policies, including corporate governance, regulatory filings and record keeping.
  • Preparing legal opinions and memos on Luxembourg corporate law issues and their impact on group structures and transactions.
  • Monitoring legal and regulatory developments in Luxembourg relevant to the group’s activities and advising management on their practical implications.

Candidate profile

  • University degree in Law, with a specialization in corporate or business law; admission to the Luxembourg Bar or another European bar will be considered a strong asset.
  • 5–8 years of professional experience in corporate law, ideally gained in a leading Luxembourg or international law firm or within an international corporate group.
  • Solid knowledge of Luxembourg company law and corporate governance, with hands-on experience in managing complex corporate structures and transactions.
  • Proven experience in dealing with local authorities, courts, notaries and external law firms in Luxembourg.
  • Fluency in English (both written and spoken); knowledge of French and/or German will be considered an advantage.
  • Strong analytical skills, high attention to detail and the ability to provide pragmatic, business-oriented legal advice.
  • Excellent communication and stakeholder management skills, with the ability to work independently and as part of a cross-border team.
